Terms of Use

These Terms of Use ("Terms") govern your access to and use of Spellbook, a private World of Darkness companion application operated by Powered On Productions ("Company," "we," "us," or "our"). By accessing or using Spellbook, you agree to these Terms. If you do not agree, do not use the service.

1. Unofficial fan tool and third-party intellectual property

Spellbook is an unofficial fan companion for tabletop play. It is not affiliated with, endorsed by, or sponsored by Paradox Interactive, White Wolf, or any other rights holder. World of Darkness and related marks belong to their respective owners.

Company does not grant any license to World of Darkness or other third-party intellectual property. You are solely responsible for ensuring your use of Spellbook and any content you submit complies with applicable publisher policies and law. You may not use Spellbook in any manner that suggests endorsement by Paradox Interactive, White Wolf, or any other rights holder.

If we receive a credible notice that content on Spellbook infringes third-party rights, we may remove or restrict that content and suspend access as appropriate. You agree to cooperate with any rights-related inquiry or takedown request we initiate.

2. Eligibility and access

Access is limited to users authorized by the Spellbook administrator, typically through Discord sign-in and an allowlist. You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.

3. Acceptable use

You agree not to:

  • Use Spellbook for any unlawful purpose or in violation of applicable law.
  • Attempt to gain unauthorized access to the service, other users' data, or underlying systems.
  • Interfere with or disrupt the service, including through automated scraping, denial of service, or abuse of APIs.
  • Reverse engineer, decompile, or attempt to extract source code from Spellbook except as permitted by law.
  • Circumvent authentication, allowlist controls, rate limits, or other access restrictions.
  • Harvest or collect user or Discord data from the service without authorization.
  • Use unauthorized automation, bots, or scripts to access the service except through interfaces we expressly permit.
  • Resell, sublicense, or commercially exploit access to Spellbook without our written consent.
  • Upload or share content that infringes others' rights or is harassing.
  • Impersonate another person or misrepresent your affiliation with the table.

Spellbook administrators may suspend or revoke access at their discretion for conduct that harms the table or the service.

4. Your content and license to Company

You retain ownership of character sheets, notes, and other content you submit ("User Content"). You grant Company a non-exclusive, worldwide, royalty-free license to host, copy, back up, display, format, and process User Content solely to operate, secure, and provide Spellbook for your table.

You represent and warrant that you have all rights necessary to submit User Content and that your User Content does not violate these Terms or infringe any third-party rights.

5. Company intellectual property

Spellbook, including its software, user interface, design, and branding, is owned by Company or its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no license is granted to you. You may not copy, modify, distribute, or create derivative works of Spellbook without our prior written consent.

6. Service changes

We may modify, suspend, or discontinue features at any time. We may update these Terms; continued use after changes constitutes acceptance of the revised Terms.

7. Termination

We may suspend or terminate your access to Spellbook at any time, with or without notice, for any reason, including if we believe you have violated these Terms or pose a risk to the service or other users. Upon termination, your right to use Spellbook ends immediately. We may delete or retain your data as described in our Privacy Policy. We have no liability for suspension or termination of access.

8. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Powered On Productions and its operators, contractors, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of Spellbook; (c) your violation of these Terms; (d) your violation of applicable law; or (e) your infringement of any third-party rights. We may assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate with that defense.

9. Disclaimer of warranties

Spellbook is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure. Spellbook is a companion tool for entertainment and tabletop play only and does not provide professional, legal, or other advice.

10. Limitation of liability

To the fullest extent permitted by law, Powered On Productions and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill, arising from your use of Spellbook.

Our aggregate liability for any claim relating to the service is limited to the amount you paid us for access in the twelve months before the claim. If you paid nothing for access in that period, our total liability is zero.

11. Governing law and disputes

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Washington for disputes arising from these Terms or your use of Spellbook.

For access or conduct issues, contact your Spellbook administrator first. For operational concerns about the service, contact the operator through the channels your table uses for Spellbook support. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

12. General

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force.

No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.

Assignment. You may not assign these Terms without our consent. We may assign these Terms without restriction.

Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including outages, acts of God, labor disputes, or third-party service failures.
